Generally, establishing a foreign-invested enterprise in China requires consular three-level notarization and authentication of the following materials:

1) U.S. Business License Authentication or U.S. Company Good Standing Authentication; [Choose One]

2) U.S. Company Registration Receipt Authentication; [Required]

3) U.S. Articles of Incorporation Authentication; [Required]

Purpose of U.S. Articles of Incorporation Authentication:

To provide notarized and authenticated proof of the foreign investor’s legal entity status, along with the original or Chinese-translated version.

4) Legal Representative Identity Proof or U.S. Passport Copy Authentication; [Required]

Purpose of Legal Representative Identity Proof:

To provide notarized and authenticated identity proof (passport) and bank credit certification for foreign individual investors, along with the original or Chinese-translated version.

5) Power of Attorney Authorizing a Chinese Representative; [Optional]

Purpose: To authorize a representative to sign contracts and articles of association for foreign-invested enterprises (sole proprietorships only need to submit articles of association).

6) U.S. Bank Credit Certification Authentication. [Optional]
